1.1 In these Terms of Business the following terms shall have the following meanings:-
"Helper" individual(s) introduced to the Client by the Agency;
"Client" the person named for whom the Agency has agreed to provide the Services in accordance with these Terms of Business;
"Agency" H Domestic Agency;
"Fee" the amount payable by the Client to the Agency in respect of the Services provided;
"Services" the referral services to be provided by the Agency to the Client;
2.1 The Agency shall supply the Services to the Client subject to these Terms of Business;
2.2 The Agency may at any time without notifying the Client make any changes to the Services which are necessary to comply with any applicable safety or other statutory requirements or which do not materially affect the nature or quality of the Services.
2.3 All changes and requests to our services level and alterations to our services must go via H Domestic Agency Office 01223 475655
3.1 Subject to any special terms agreed the Client shall pay the Fee notified by the Agency;
3.2 The Agency shall be entitled to vary the Fee from time to time by giving not less than three months' written notice to the Client;
3.3 Attached Sheet, the Agency shall if requested be entitled to invoice the Client following the end of each month in which the Service is provided, or at other times as agreed with the Client, and the Agency's invoice shall be paid by the Client (without any set-off or deduction) within 7 days of the Agency's invoice
3.4 If payment of the Fee is not made on the due date the Agency reserves the right to delay provision of the Services until payment has been received. If payment of a Fee is not made on the due date and remains unpaid for more than 30 days the Agency shall be entitled (without limitation to any other rights it may have) to charge interest on the outstanding amount (both before and after any judgment) at the rate of 2% above the base rate from time to time from the due date until the outstanding amount has been paid in full;
3.5 Client must inform the agency if the helper does not turn up with 24hours.
4.1 Either party shall be entitled to terminate this Agreement in writing at any time by giving not less than three months' written notice to the other party;
4.2 Either party may (without limiting any other remedy) at any time terminate the Agreement by giving written notice to the other if the other commits any breach of these Terms of Business and (if capable of remedy) fails to remedy the breach within 30 days after being required by written notice to do so, if the other goes into liquidation, or (in the case of an individual or firm) becomes bankrupt, makes voluntary arrangement with his or its creditors or has a receiver or administrator appointed.
4.3 The client must cancel Standing Orders or BACS payments to the agency upon termination.
4.4 The client if paying by invoice, payment is due by return of post or no later than 7 days.
4.5 No refunds can be made in respect to 4.3.
4.6 If a client is found to have made an offer of employment to a helper booked originally through the agency. The client and helper will be liable in and the helper will be liable in damages to The Agency for compensation in respect of all past,present and future losses which The Agency has suffered or might suffer by reason of any breach of the under taking
One off placements. Helper paid directly by the client at agreed hourly or job rate. Agency paid directly for the placement at the agreed fee. In the the event the client does not use the helper no fee is due to the agency. Agency Fee due before work is to be carried out.
5.1 The Agency undertakes to make all reasonable efforts to ensure reasonable standards of care and skill in performance of the Services;
5.2 The Agency shall have no liability to the Client for any loss, damage, costs, expenses or other claims for compensation arising from or in connection with any instructions supplied by the Client which are incomplete, inaccurate or incorrect, or any other fault of the Client;
5.3 The Agency accepts no responsibility for any Helper employed by or introduced to the Client and makes no guarantee that any Helper will stay in the Client's employment or be suitable for the position. No refunds or credit notes will be issued in respect of Helpers who are unsuitable for the position, leave the employment of the Client or whom the Client subsequently finds unsuitable for the position
5.4 Clients are responsible for requesting a replacement helper by calling H Domestic Agency Ltd within 24 hours for a helper is ill or on holiday. We cannot guarantee cover at all times, but will endeavour to do so.
5.5 The Client shall pay the full Fee for the Services provided by the Agency regardless of whether any Helper is subsequently employed by the Client;
5.7 Save in the case of death or personal injury caused by the Agency's negligence the Agency shall not be liable to the Client by reason of any representation (unless fraudulent) or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the Terms of Business for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claim (whether caused by the negligence of the Agency, its servants or agents or otherwise) which arise out of or in connection with the provision of the Services or their use by the Client and the entire liability of the Agency under or in connection with the contract between the Client and the Agency shall not exceed the amount of the Agency's charges for the provision of the Services, except as expressly provided in the Terms of Business;
5.8 The Agency shall not be liable to the Client or be deemed to be in breach of the Terms of Business by reason of any delay in performing, or any failure to perform, any of the Agency's obligations in relation to the Services, if the delay or failure was due to any cause beyond the Agency's reasonable control.
6.1 These Terms of Business together with the terms, if any, set out the entire agreement between the parties, supercede any previous agreement or understanding and may not be varied except in writing between the parties. All other terms and conditions, express or implied by statute or otherwise, are excluded to the fullest extent permitted by law;
6.2 No failure or delay by either party in exercising any of its rights under the Terms of Business shall be deemed to be a waiver of that right, and no waiver by either party of any breach of the contract between the Client and the Agency by the other shall be considered as a waiver of any subsequent breach of the same or any other provision;
6.3 If any provision of the Terms of Business is held by a competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions and the remainder of the provision in question shall not be affected;
6.4 The Client shall agree to allow its details to be entered into the Agency's database and the Agency shall comply with all relevant provisions of the Data Protection Acts 1984/1998 (as amended)
6.5 These Terms of Business shall be governed by and construed in accordance with English law and the parties agree to submit to the non-exclusive Jurisdiction of the English Courts.
6.6 CLAIMS¨›In case of a complaint, H Domestic Agency requires information within 24 hours by telephone or within 48 hours in writing subsequent to the completed service. No claims can be made against H Domestic Agency after the above time limits H Domestic Agency has to have a chance to rectify any problems arising as a result of its work. If the Client is dissatisfied with the work H Domestic Agency has done on his request then H Domestic Agency's operatives must be allowed to come back and re-do the job free of charge, otherwise no refund can be claimed.
6.7 One off placements agency fees normally 25% unless negotiated of the yearly salary paid before commencement of employment
6.8 One off placement agency fee refunds. If the employee voluntary decides to leave within one month of employment with said client - 75% agency fee refund. Two to three months from commencing employment with said client 50% agency fee refund. Three to six months from commencing employment 25% agency fee refund. Six month from commencing employment with said client no agency fee refunds due.
